Tax Law

Our Tax Law practice encompasses two often overlapping areas - business taxation and personal taxation. On the business side, we assist clients in the tax-efficient creation and operation of sole proprietorship, partnerships, limited liability companies, S Corporations, and publicly traded corporations. This advice extends to the complex tax rules governing business acquisitions, spin-offs, earnings distributions, liquidations, and share redemption. In addition, we offer business clients advice on the tax consequences of a variety of commercial transactions, and on the creation and maintenance of employee benefit plans and other compensation arrangements.

Our personal tax practice is devoted to helping clients arrange their affairs in ways that minimize tax liability while complying with all pertinent tax rules. Much of this work involves planning clients' estates through tax-sensitive will and trust preparation. Business and personal tax planning overlap when questions of business succession arise - our goal is to pre-arrange the passing of family business interests to children or others without unnecessary tax liability.

Frederic Dorwart, Lawyers PLLC also advise non-profit organizations and private foundations on organizational and operational requirements for retaining federal and state tax exemptions.

Our intention throughout the tax practice is to assure that clients plan their activities in full compliance with the tax laws. However, should conflict with the Internal Revenue Service or state taxing authorities arise, we stand ready to represent clients in administrative proceedings and, if necessary, in the United States Tax Court or other federal or state courts.
