Eric Swenton

Eric Swenton is a business attorney who represents and advises clients in corporate, oil and gas, energy, banking, and securities law matters.  His diverse practice involves representing public and private companies with operations throughout the United States and the world.  Mr. Swenton enjoys working closely with clients, gaining a deep understanding of each client’s business and assisting clients with implementation of their business strategies and plans in an efficient and effective manner.

Biography

Subject Matter Expertise and Experience: 

  • Corporate / Mergers and Acquisitions
    • advises clients in implementation and negotiation of acquisition and divestiture transactions in the oil and gas, banking, aggregates, medical, dairy and other industries
    • advises clients regarding entity structure and formation, including negotiating organizational documents and agreements defining the relationships between company owners
    • assists clients in structuring and implementing corporate reorganization projects designed to reduce and eliminate historical and non-needed entities
    • advises clients regarding corporate governance and general business issues
    • provides run-the-business contract review and negotiation for standard business agreements, including non-disclosure agreements, master service agreements, sales agreements, consulting agreements, employment agreements, real property purchase and sale agreements, real property leases and other business arrangement agreements.
    • advises non-profit organizations regarding formation (including 501(c)(3) application) and operations issues
  • Oil and Gas / Energy
    • represents upstream and midstream companies in implementing business strategy and projects, which often involve the acquisition and divesture of business segments as well as advisement on contractual and operational matters
    • prepares and negotiates standard oil and gas industry agreements, which include gas purchase and sale agreements, crude purchase and sale agreements, NAESBs, terminalling agreements, master service agreements, and other oil and gas service agreements.
  • Banking
    • assists clients in obtaining regulatory approval for bank purchase and sale transactions, which involve approval by the Federal Reserve, the Office of Comptroller of Currency and state banking agencies
    • advises clients with implementation and maintenance of regulatory compliance programs
    • advises and assists with implementation and operation of Paycheck Protection Program loan programs implemented during the Covid-19 pandemic
  • Securities
    • advises clients in structuring and implementation of capital-raise transactions, including compliance with federal and state securities laws
    • prepares and negotiates agreements for capital-raise transactions, including organizational documents, purchase agreements, subscription agreements, shareholder agreements, registration rights agreements, indemnification agreements and all other agreements needed in connection with capital transactions
    • advises clients regarding securities law compliance at the state and federal level
    • assists clients with preparation and filing of required public company filings

Past Accolades

Prior to joining Frederic Dorwart, Lawyers PLLC in 2014, Mr. Swenton was a partner with Strasburger & Price LLP in Dallas, Texas.

Mr. Swenton received his law degree from the University of Oklahoma, with highest honors and is a member of the Order of the Coif.  At the University of Oklahoma Law School, Mr. Swenton was a Comfort Scholar and Assistant Managing Editor to the Oklahoma Law Review.  Mr. Swenton received his undergraduate degree in Accounting from the University of Central Oklahoma, summa cum laude and was the College of Business Class Marshall (awarded the most outstanding student of the College of Business).
